Authorized Sales Channels and Resale Restrictions
Buyer is authorized to purchase Products solely for resale through Buyer’s approved brick-and-mortar retail locations within the United States. Products may not be resold through any other channels without Seller’s prior written consent.
Buyer shall not, directly or indirectly:
- Sell, list, or offer Products for sale online through any website, marketplace, platform, social media shop, or digital channel
- Sell Products to any third party for redistribution, wholesaling, or resale
- Divert Products outside of the United States
- Transfer Products to liquidators, jobbers, brokers, exporters, or any unauthorized reseller
- Repackage, relabel, or alter Products or packaging
Buyer agrees to maintain accurate sales and inventory records and provide documentation upon reasonable request to verify compliance with these terms.
Any sale outside approved physical retail locations or any online offering of Products will be considered unauthorized diversion and a material breach of agreement. Seller reserves the right to:
- Immediately cancel open orders
- Refuse future shipments
- Terminate the business relationship
- Pursue all available legal and equitable remedies
No Online Sales
Sale of Products via Amazon, Walmart Marketplace, eBay, Shopify, personal websites, social media platforms, or any other e-commerce or digital sales channel is strictly prohibited unless expressly authorized in writing by Seller.
U.S. Territory Limitation
Products may only be marketed, distributed, and sold within the United States. Export or resale for export is prohibited without Seller’s prior written approval.
